KRS, KRZ and CRBR — Registration and Update Services
Polish companies are required to keep their entries in the National Court Register (KRS) up to date and, where applicable, to file notifications with the Central Register of Beneficial Owners (CRBR). Restructuring and insolvency proceedings are handled through the National Restructuring and Bankruptcy Register (KRZ). Keeping these registers current is a legal obligation; failure to do so can result in fines and other consequences.
We prepare and file all types of applications and notifications on behalf of our clients, representing them before the registry court and the relevant administrative bodies.
National Court Register (KRS)
We handle filings in all sections of the KRS, including:
- Initial registration: registration of a new limited liability company (sp. z o.o.), joint-stock company (S.A.), simple joint-stock company (P.S.A.), partnership or branch of a foreign entrepreneur
- Changes in the management board and supervisory board: appointments, resignations, removals
- Changes in share capital: increases and decreases, including changes to the share structure
- Amendments to the articles of association or statutes
- Prokura: granting and revoking commercial proxy (prokura)
- Changes of registered address and company name
- Business activity codes (PKD): adding or changing activity codes
- Annual financial statements: filing of financial documents in the KRS
- Mergers, demergers and transformations
- Liquidation: opening of liquidation proceedings, appointment of liquidators, closure of liquidation and deletion from the register
Under Polish law, most KRS changes must be filed within 7 days of the triggering event (e.g. a resolution). Late filings can attract fines from the registry court. We monitor deadlines and ensure timely submission.
National Restructuring and Bankruptcy Register (KRZ)
The KRZ is the online register for all insolvency and restructuring proceedings in Poland. We assist with:
- Filing petitions to open restructuring proceedings (accelerated arrangement, arrangement, remedial, and bankruptcy proceedings)
- Filing creditor claims in existing proceedings
- Monitoring the status of proceedings affecting your debtors or counterparties
- Filing objections and participating in proceedings on behalf of creditors
Central Register of Beneficial Owners (CRBR)
The CRBR is a public register of the ultimate beneficial owners (UBOs) of Polish companies. Notifications are mandatory for most commercial companies and must be updated within 7 days of any change.
- Initial CRBR notification at the time of company formation
- Updates following changes in ownership structure or management
- Advice on identifying the correct beneficial owner(s) in complex ownership structures
How we work
We prepare all documents, obtain the necessary signatures (including by electronic means), and submit filings electronically via the Court Portal (Portal Rejestrów Sądowych) or the CRBR system. We track the status of all applications and inform you of the outcome. Where needed, we respond to queries from the registry court and handle any corrections.
